End User Licence Agreement
This End User Licence Agreement (the “Agreement”) is between nextVet (ABN 75 767 638 032) (“nextVet”, “we”, “us” or “our”) and the person or organisation using EasyPath (“you” or “your”).
EasyPath is a software service that receives veterinary pathology report emails, uses automated processing and artificial intelligence to convert attached PDF reports into formatted text, and delivers the converted result to an email address configured by you.
1. Acceptance
By creating an account, selecting the acceptance checkbox, or accessing or using EasyPath, you agree to be bound by this Agreement. If you are accepting on behalf of a clinic or other organisation, you represent that you have authority to bind that organisation. If you do not agree, do not create an account or use EasyPath.
2. Eligibility and account security
You must be at least 18 years old and capable of entering a binding agreement. You must provide accurate registration information, keep it current, and keep your login credentials confidential. You are responsible for activity carried out through your account and must promptly notify us of suspected unauthorised access.
3. Licence to use EasyPath
Subject to this Agreement and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use EasyPath for your clinic’s internal business purposes. You must not resell, sublicense, rent, copy, modify, reverse engineer, decompile, interfere with, scrape, or attempt to gain unauthorised access to the service or its underlying systems.
4. Clinical responsibility and AI output
EasyPath is a conversion tool for formatting and workflow purposes. It is not a veterinarian, diagnostic service, laboratory, medical device, or substitute for professional veterinary judgement. The interpretation and verification of results remains the responsibility of the attending treating clinician. Converted reports may contain errors, omissions, formatting changes, or other inaccuracies. You must review every converted report against the original laboratory report before relying on it, entering it into a patient record, communicating it to a client, or making a clinical decision.
You remain solely responsible for clinical decisions, patient care, interpretation of results, and communicating results to clients. Do not use EasyPath as the sole basis for an emergency or time-critical veterinary decision.
5. Your content and responsibilities
You retain ownership of pathology reports, patient information, and other content you submit (“Your Content”). You grant us the limited licence needed to host, transmit, process, format, store, and deliver Your Content to provide and secure EasyPath, troubleshoot issues, comply with law, and improve the service. You represent that you have the rights and permissions required to submit Your Content and instruct us to process it.
You are responsible for configuring forwarding addresses and destinations, checking recipients, obtaining any required client or patient-data permissions, and ensuring that your use complies with applicable privacy, veterinary, professional, and record-keeping obligations. Do not submit content that is unlawful, malicious, or unrelated to your authorised business use.
6. Acceptable use
You must not use EasyPath to break the law, infringe another person’s rights, send spam or malware, test or attack the service, bypass usage or plan limits, impersonate another person, upload harmful code, or process information without appropriate authority. We may investigate suspected misuse and take proportionate action to protect users and the service.
7. Subscriptions, trials and payment
EasyPath may offer paid plans and a free trial as described at signup. Unless stated otherwise, paid plans renew automatically for successive monthly billing periods. You authorise our payment processor, Stripe, to charge the applicable plan fee and any required taxes using your selected payment method. You can manage or cancel your subscription through the Stripe billing portal. Cancellation generally takes effect at the end of the current paid period, unless applicable law requires otherwise.
Trial eligibility, trial duration, pricing, usage limits, and plan features may change for future signups. We may suspend processing when payment is overdue or a plan limit is reached. Fees already paid are non-refundable except where required by law or expressly agreed by us.
8. Third-party services
EasyPath relies on third-party services, including Stripe for payments, Mailgun for email delivery, and an AI processing provider for report conversion. Those services may have their own terms and privacy policies. We are not responsible for outages or acts of third parties, but we will use reasonable efforts to keep the service operating and address material service issues.
9. Intellectual property
EasyPath, including its software, design, documentation, branding, and improvements, is owned by or licensed to nextVet and is protected by applicable intellectual-property laws. Except for the limited licence in this Agreement, no rights are transferred to you. You grant feedback about EasyPath without restriction or payment, provided that feedback does not include confidential patient information.
10. Availability and changes
EasyPath is provided on an “as available” basis. We do not promise that it will be uninterrupted, error-free, or suitable for every workflow, and this Agreement does not provide a service-level guarantee. We may update, add, or remove features when reasonably necessary to operate, secure, or improve the service. We may notify you of material changes to this Agreement by email or through EasyPath. Continued use after the effective date of a change constitutes acceptance.
11. Suspension and termination
You may stop using EasyPath or ask us to close your account at any time. We may suspend or terminate access for non-payment, a breach of this Agreement, suspected misuse, legal requirements, or risks to the service or other users. On termination, your right to use EasyPath ends. We may delete account data and stored content in accordance with our retention practices and applicable law, so you should maintain your own required records.
12. Disclaimers and liability
To the maximum extent permitted by law, we exclude all warranties, guarantees, and conditions not expressly stated in this Agreement, including that converted output will be complete, accurate, or fit for a particular clinical purpose. Nothing in this Agreement excludes, restricts, or modifies any right or guarantee that cannot lawfully be excluded under the Australian Consumer Law or other applicable law.
To the maximum extent permitted by law, our total liability arising from or relating to EasyPath or this Agreement is limited to the greater of the fees you paid to us for EasyPath in the 12 months before the event giving rise to the claim and AUD 100. We are not liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or loss of profits, revenue, data, goodwill, or business opportunity. These limits do not apply to liability that cannot legally be limited.
13. General
This Agreement is governed by the laws of Australia. The parties submit to the courts with jurisdiction in Australia. If a provision is unenforceable, it will be read down or severed to the minimum extent necessary and the remaining provisions will continue. This Agreement, together with any plan details shown at signup and any incorporated policies, is the entire agreement about EasyPath and replaces prior understandings about the service.
